Terms & Conditions – Local Service Builder

1. Website Scope and Customization

• Each website includes up to 10 pages.
• Customization is limited to: colors, text, images, and contact information. No layout or structural changes are permitted.
• Additional pages or functionality may be available at a later date for an additional fee.

2. ADA Compliance

• We build all websites with general accessibility practices in mind, but we do not guarantee ADA compliance.
• You agree to hold harmless and indemnify Local Service Builder and Oden Resources LLC from any and all claims, damages, or legal actions related to ADA accessibility, including but not limited to lawsuits, demands, or settlements.

3. SEO and Performance Disclaimer

• We apply common SEO best practices to every site. However, we do not guarantee specific search engine rankings or results.
• Many ranking factors are outside our control, including but not limited to content, industry competition, market trends, and Google algorithm changes.

4. Citation Building (if purchased)

• If your package includes citation building, we will create up to 35 new listings, provided they are not already claimed.
• Duplicate or pre-existing citations do not count toward your total.
• We do not guarantee placement in any specific directory or search engine.

5. Domains

• If we register a domain name for your website, Local Service Builder retains ownership.
• You may request a domain transfer under the following conditions:
  • If you have maintained an active subscription for less than 12 months, a $99 transfer fee applies.
  • After 12 full months of uninterrupted subscription, domain transfer is available at no additional cost.
• You must create a Namecheap.com account and provide accurate account information to accept the domain transfer.

6. Intellectual Property

• You retain ownership of any content you provide, including text, logos, and images.
• Local Service Builder retains ownership of:
  • The website layout and template.
  • All source code and proprietary systems used to build or manage the site.
• You are granted a non-exclusive license to use the site while your subscription is active.

7. Subscription & Payment Terms

• Subscriptions are billed automatically at the agreed-upon interval.
• Failure to pay on time may result in suspension or removal of your website.
• We reserve the right to update pricing, service offerings, or billing terms with 30 days’ written notice to active subscribers.

8. Cancellations and Refunds

• You may cancel your subscription at any time.
• No refunds are provided for partial months or setup fees.
• If canceled, you may request a domain transfer subject to the conditions in Section 5.

9. Client Responsibilities

• You are solely responsible for:
  • Supplying accurate and timely business details.
  • Complying with any industry-specific legal, regulatory, or advertising requirements.
  • Reviewing your website for accuracy and legal compliance.

10. Limitation of Liability

• Local Service Builder and Oden Resources LLC shall not be held liable for any direct, indirect, incidental, special, or consequential damages arising out of or relating to your use of the website or our services.
• We are not liable for issues outside our control, including but not limited to third-party outages, hosting interruptions, or user error.

11. Modifications to Terms

These terms may be updated at any time. Continued use of our services constitutes your acceptance of any changes.

12. Dispute Resolution & Arbitration (Governing Law: Idaho)

• Any dispute, claim, or controversy arising out of or relating to these Terms, your use of our services, or the relationship between you and Local Service Builder (including its parent company, Oden Resources LLC), shall be resolved exclusively through binding arbitration administered by a mutually agreed-upon arbitrator in accordance with the rules of the American Arbitration Association (AAA).
• The arbitration shall be conducted in the State of Idaho, in Ada County, unless otherwise mutually agreed.
• Each party shall bear its own legal fees and costs associated with the arbitration, unless otherwise determined by the arbitrator.
• The decision of the arbitrator shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
• You waive any right to bring a claim against Local Service Builder or Oden Resources LLC in a class action or jury trial.
• By agreeing to these terms, you consent to resolve all disputes through arbitration rather than in court, in accordance with the laws of the State of Idaho.
